OFT accepts cinema merger undertakings

The OFT has accepted the undertakings offered by Terra Firma Investments (GP) 2 Ltd (and UK subsidiary, Corleone Capital Limited) in relation to its acquisition of the UCI cinema chain.
The OFT has decided that the undertakings offered address the competition concerns arising from its acquisition of United Cinemas International (UK) Limited and Cinema International Corporation (UK) Limited - collectively 'UCI' - in relation to the supply of cinema exhibition.
This transaction will not now be referred to the Competition Commission.
Terra Firma Investments (GP) 2 Ltd acquired the Odeon cinema chain in September 2004. In lieu of reference to the Competition Commission of the acquisition of the UCI chain, Terra Firma Investments (GP) 2 Ltd has offered to make divestments in relation to 11 local areas.
